So I bought an iPhone 11 Pro Max sep 2019 and was doing my annual upgrade promise and apparently if you have made an insurance claim that voids this promise.
ironically the replacement phone was arranged through Vodafone insurance services.
I have read the terms and conditions and does not mention this.
can any of the moderators or experts here advise ?

Vodafone knows that tech can fail and in some circumstances has to be replaced as it's beyond economical repair.
As you've also had the phone replaced by Vodafone Insurance then I'm at a loss as to what the issue is.
This is specifically mentioned in Terms-and-conditions/consumer/mobile/offers-and-promotions/vodafone-annual-upgrade-promise-offer.
4. Minimum standards: The device you return to us must be the same device that you purchased from Vodafone or an insurance replacement.
I think you've been given wrong advice and should go back armed with the above Clause 4.
